TERMS OF USE

These Terms of Use are a legally binding agreement between you and Harbor Ready LLC (“Harbor,” “Company,” “we,” “us,” or “our”) governing your access to and use of Harbor’s websites, mobile applications, software, products, services, content, features, and related offerings that link to these Terms (collectively, the “Service”).
Harbor is an exam-readiness system that helps students understand what matters for an upcoming exam, check what they know, identify readiness gaps, and stay on track until they are ready.
By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.
1. Agreement to Terms
You agree to comply with these Terms and all applicable laws and regulations when using the Service.
Supplemental terms, policies, product rules, or subscription terms may apply to certain features of the Service. Any supplemental terms are incorporated into these Terms by reference.
We may update these Terms from time to time. When we do, we will update the “Last updated” date above. Your continued use of the Service after updated Terms are posted means you accept the updated Terms.
The Service is intended for users who are at least 13 years old. If you are under the age of majority in your jurisdiction, you may use the Service only with the permission and supervision of a parent or legal guardian.
2. The Harbor Service
Harbor helps users prepare for exams by providing tools such as:
Course and exam setup
Study material uploads
Topic extraction
Readiness scores
Knowledge gap detection
Practice questions
Quizzes and review prompts
AI-generated summaries and explanations
Study plans and reminders
Progress tracking
Personalized recommendations
The Service is intended to support studying and exam preparation. It does not replace your own judgment, your instructor’s guidance, official course materials, school policies, or academic requirements.
3. No Guarantee of Academic Results
Harbor does not guarantee grades, test scores, academic performance, admissions outcomes, scholarships, certifications, or any other educational result.
Readiness scores, predictions, recommendations, study plans, practice questions, summaries, and other outputs are estimates and study aids only. They may be incomplete, inaccurate, outdated, or not aligned with a specific instructor’s expectations.
You are responsible for verifying all information, reviewing official course materials, following your school’s academic policies, and deciding how to study.
4. AI-Generated Content
Some Harbor features use artificial intelligence, machine learning, or automated systems to analyze materials and generate outputs.
AI-generated outputs may include summaries, explanations, quizzes, readiness estimates, topic maps, study plans, recommendations, and feedback.
You understand and agree that:
AI outputs may be incorrect or incomplete.
AI outputs may not reflect what will appear on an actual exam.
AI outputs are not professional, academic, legal, financial, or career advice.
You are responsible for independently checking important information.
You should not rely solely on Harbor to prepare for an exam.
Harbor may use automated systems to operate, improve, monitor, and protect the Service.
5. Account Registration
You may need to create an account to use some or all of the Service.
You agree to provide accurate, complete, and current account information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
You must notify us promptly if you believe your account has been compromised.
We may suspend, restrict, or terminate your account if we believe your information is inaccurate, your account has been compromised, or you have violated these Terms.
6. User Representations
By using the Service, you represent and warrant that:
You are at least 13 years old.
If you are a minor, you have permission from a parent or guardian to use the Service.
You have the legal capacity to agree to these Terms.
The information you provide is accurate and complete.
You will use the Service only for lawful purposes.
You will not use the Service to violate academic integrity policies.
You will not upload content unless you have the legal right to do so.
You will not interfere with or abuse the Service.
Your use of the Service will comply with all applicable laws, rules, and regulations.
7. Fees, Subscriptions, and Payment
Some Harbor features may require payment. By purchasing a subscription or paid feature, you agree to pay all applicable fees and taxes.
We may accept payment through credit cards, debit cards, Apple App Store, Google Play, Stripe, or other payment processors. Payment processing may be handled by third parties, and your payment information may be subject to their terms and privacy policies.
Subscription fees are billed in advance on a recurring basis unless otherwise stated. You authorize Harbor and its payment processors to charge your payment method for recurring subscription fees, applicable taxes, and other charges.
Prices may change from time to time. We will provide notice of material price changes where required by law.
8. Free Trials and Promotions
Harbor may offer free trials, discounts, promotional offers, giveaways, or referral programs.
Unless otherwise stated, a free trial will automatically convert into a paid subscription at the end of the trial period. You are responsible for canceling before the trial ends if you do not want to be charged.
Promotions may be subject to additional eligibility requirements, deadlines, limits, and rules. We may modify or end promotions at any time, subject to applicable law.
No purchase is necessary to enter or win a giveaway where required by law.
9. Cancellation and Refunds
You may cancel your subscription through your account settings, the applicable app store, or the payment platform through which you subscribed.
Cancellation will take effect at the end of the current billing period unless otherwise stated.
All purchases are non-refundable except where required by law or expressly stated by Harbor. We do not provide refunds or credits for partial billing periods, unused features, missed study sessions, failure to use the Service, or dissatisfaction with academic results.
10. License to Use the Service
Subject to your compliance with these Terms, Harbor grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your personal, non-commercial study and exam-preparation purposes.
You may not copy, modify, distribute, sell, lease, reverse engineer, decompile, or attempt to extract the source code of any part of the Service except where permitted by law.
We reserve all rights not expressly granted to you.
11. Harbor Intellectual Property
The Service, including software, design, interfaces, workflows, algorithms, models, text, graphics, logos, trademarks, service marks, trade names, visual design, databases, and other materials, is owned by Harbor or its licensors.
You may not use Harbor’s name, logo, branding, marks, content, or proprietary materials without our prior written permission.
Nothing in these Terms gives you ownership of Harbor’s intellectual property.
12. Your Content
“User Content” means any content, information, files, materials, or data you upload, submit, create, transmit, or otherwise provide through the Service, including notes, slides, documents, images, study guides, syllabi, assignments, prompts, answers, quiz responses, feedback, messages, and other materials.
You retain ownership of your User Content, subject to the license you grant Harbor in these Terms.
You are solely responsible for your User Content and for ensuring that you have all rights necessary to upload, submit, use, and share it through Harbor.
13. License You Grant Harbor
By uploading, submitting, creating, or otherwise providing User Content through the Service, you grant Harbor a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, copy, process, analyze, modify, transform, display, transmit, and use your User Content as necessary to:
Provide and operate the Service
Generate summaries, quizzes, explanations, readiness scores, study plans, and recommendations
Personalize your experience
Maintain, secure, and improve the Service
Develop and improve Harbor’s systems
Detect abuse, prohibited content, or violations of these Terms
Comply with legal obligations
You also grant Harbor the right to use User Content in aggregated, de-identified, or transformed form for analytics, research, product improvement, machine learning improvement, reporting, and business purposes, provided such information does not reasonably identify you.
If you delete your account, Harbor will handle your User Content as described in the Privacy Policy. Some content may remain in backups, logs, de-identified datasets, aggregated outputs, or records we are legally required or permitted to retain.
14. Academic Integrity and Acceptable Use
Harbor is designed to help students study and prepare honestly. You may not use the Service to cheat, deceive, violate academic integrity rules, or bypass school, instructor, testing, or certification policies.
You agree not to upload, submit, generate, request, share, or use content that includes:
Exam answers not authorized for study use
Test banks not intended for public or student distribution
Answer keys not authorized for use
Confidential exam materials
Leaked or stolen academic materials
Publisher materials you do not have the right to use
Paid course materials you are not authorized to upload or share
Content that violates a school honor code or academic integrity policy
Content that infringes intellectual property rights
Content that violates privacy rights
Illegal, harmful, abusive, deceptive, or misleading content
You are responsible for knowing and following your school’s policies. Harbor is not responsible for how you use the Service in relation to any school, institution, instructor, employer, testing provider, or certification authority.
15. Prohibited Activities
You may not:
Use the Service for unlawful, harmful, fraudulent, or abusive purposes
Use the Service to cheat or violate academic rules
Upload content you do not have the right to use
Misrepresent your identity or affiliation
Share your account or login credentials
Access another user’s account
Interfere with the operation of the Service
Attempt to bypass security or access controls
Use bots, scrapers, crawlers, or automated tools without permission
Reverse engineer or attempt to extract source code, models, prompts, datasets, or system architecture
Copy, reproduce, sell, resell, or commercially exploit the Service
Use the Service to build a competing product
Overload, disrupt, or impair our systems
Upload malware, spyware, viruses, or harmful code
Harass, threaten, abuse, or harm other users or Harbor personnel
Collect user information without permission
Use the Service to generate spam, deception, or misleading content
Remove proprietary notices from Harbor materials
Violate any applicable law, rule, or regulation
We may investigate suspected violations and take any action we consider appropriate, including removing content, limiting access, suspending accounts, terminating accounts, or contacting law enforcement.
16. Community, Sharing, and User Interactions
Harbor may allow users to share content, invite classmates, participate in groups, communicate with other users, or contribute to shared study spaces.
You are responsible for what you share. Content shared with other users may be copied, saved, or redistributed by those users.
We do not guarantee the accuracy, legality, safety, or reliability of content shared by other users.
We may remove or restrict shared content at our discretion.
17. Feedback and Suggestions
If you provide ideas, feedback, suggestions, feature requests, or recommendations about Harbor, you grant Harbor the right to use them without restriction or compensation to you.
You agree that Harbor may use, modify, implement, publish, or commercialize feedback for any purpose.
18. Mobile Application Terms
If you access Harbor through a mobile application, we grant you a limited, revocable, non-exclusive, non-transferable license to install and use the app on devices you own or control, solely in connection with your permitted use of the Service.
You may not:
Copy, modify, or distribute the app
Reverse engineer, decompile, or disassemble the app
Use the app for unlawful or unauthorized purposes
Remove proprietary notices
Use the app to build a competing product
Make the app available over a network for unauthorized use
Use the app in violation of app store rules
If you downloaded the app from Apple’s App Store or Google Play, you agree to comply with the applicable app store terms. Apple and Google are not responsible for providing support or maintenance for Harbor unless required by their own terms or applicable law.
19. Third-Party Services
The Service may integrate with, link to, or rely on third-party services, including login providers, cloud platforms, analytics tools, payment processors, app stores, AI infrastructure providers, and other external services.
Your use of third-party services may be subject to their own terms and privacy policies.
Harbor is not responsible for third-party services, third-party content, third-party websites, or third-party practices.
20. Privacy
Your use of the Service is subject to Harbor’s Privacy Policy, which explains how we collect, use, disclose, and protect information.
By using the Service, you acknowledge that Harbor may process information as described in the Privacy Policy.
21. Copyright and Intellectual Property Complaints
Harbor respects intellectual property rights. If you believe content on the Service infringes your copyright or other rights, you may submit a notice to us.
A copyright notice should include:
Your physical or electronic signature
Identification of the copyrighted work claimed to be infringed
Identification of the allegedly infringing material and where it is located
Your contact information
A statement that you have a good faith belief the use is not authorized
A statement that the information in the notice is accurate
A statement under penalty of perjury that you are authorized to act on behalf of the owner

If you believe your content was removed by mistake, you may submit a counter-notice as permitted by applicable law.
We may remove or disable access to allegedly infringing content and may terminate repeat infringers.
22. Service Management and Enforcement
We reserve the right, but do not have the obligation, to:
Monitor the Service for violations
Remove, restrict, or disable content
Suspend or terminate accounts
Limit usage or access
Investigate suspected abuse
Use automated systems to detect prohibited content or misuse
Preserve information for legal, safety, or compliance purposes
Report unlawful conduct to authorities
We may take these actions at any time, with or without notice, where permitted by law.
23. Termination
These Terms remain in effect while you use the Service.
We may suspend or terminate your access to the Service at any time if we believe you violated these Terms, created risk or harm, used the Service unlawfully, infringed rights, or otherwise misused the Service.
You may stop using the Service at any time. You may delete your account through account settings or by contacting us.
After termination, provisions that by their nature should survive will survive, including intellectual property rights, licenses, disclaimers, limitations of liability, indemnification, dispute resolution, and payment obligations.
24. Modifications, Availability, and Interruptions
We may modify, suspend, discontinue, or remove any part of the Service at any time.
We do not guarantee that the Service will always be available, uninterrupted, secure, or error-free.
The Service may be unavailable due to maintenance, updates, technical issues, third-party failures, security events, or other reasons.
We are not liable for any loss, damage, or inconvenience caused by interruptions, delays, errors, data loss, feature changes, or discontinuation of the Service.
25. Corrections and Accuracy
The Service may contain errors, inaccuracies, omissions, or outdated information.
We reserve the right to correct, update, modify, or remove information at any time without prior notice.
You are responsible for verifying important information before relying on it.
26. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”
TO THE FULLEST EXTENT PERMITTED BY LAW, HARBOR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND RELIABILITY.
HARBOR DOES NOT WARRANT THAT:
THE SERVICE WILL MEET YOUR EXPECTATIONS
THE SERVICE WILL IMPROVE YOUR GRADES OR TEST SCORES
READINESS SCORES WILL BE ACCURATE
AI OUTPUTS WILL BE COMPLETE OR ERROR-FREE
THE SERVICE WILL BE UNINTERRUPTED OR SECURE
CONTENT WILL BE AVAILABLE, ACCURATE, OR CURRENT
DEFECTS WILL BE CORRECTED
THE SERVICE WILL BE FREE FROM VIRUSES OR HARMFUL COMPONENTS
YOUR USE OF THE SERVICE IS AT YOUR OWN RISK.
27. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, HARBOR AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, LOSS OF GOODWILL, ACADEMIC CONSEQUENCES, LOST OPPORTUNITIES, OR BUSINESS INTERRUPTION.
TO THE FULLEST EXTENT PERMITTED BY LAW, HARBOR’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF:
THE AMOUNT YOU PAID TO HARBOR IN THE SIX MONTHS BEFORE THE CLAIM AROSE, OR
ONE HUNDRED U.S. DOLLARS ($100).
Some jurisdictions do not allow certain exclusions or limitations of liability. In those jurisdictions, our liability will be limited to the maximum extent permitted by law.
28. Indemnification
You agree to defend, indemnify, and hold harmless Harbor and its officers, directors, employees, contractors, affiliates, agents, licensors, and service providers from and against any claims, losses, damages, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:
Your use of the Service
Your User Content
Your violation of these Terms
Your violation of any law or regulation
Your violation of any third-party rights
Your violation of academic integrity policies
Your misuse of AI-generated content
Your unauthorized upload or use of copyrighted, confidential, or restricted materials
We reserve the right to assume the exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with our defense.
29. Data Backup and User Responsibility
We may maintain certain data for operating, securing, and improving the Service. However, Harbor is not a backup service.
You are responsible for maintaining your own copies of important notes, documents, study materials, assignments, and other files.
We are not liable for loss, corruption, deletion, or failure to store any User Content or other data.
30. Electronic Communications
By using the Service, you consent to receive communications from Harbor electronically, including emails, in-app messages, push notifications, account notices, billing notices, legal notices, and policy updates.
You agree that electronic communications satisfy any legal requirement that such communications be in writing.
You may opt out of promotional communications as described in the Privacy Policy, but we may still send service-related communications.
31. Governing Law
These Terms and your use of the Service are governed by the laws of the State of Florida, without regard to conflict of law principles, unless applicable law requires otherwise.
32. Dispute Resolution
Before bringing a formal claim, you agree to first contact Harbor and attempt to resolve the dispute informally. Either party may begin informal resolution by sending written notice describing the dispute.
If the dispute is not resolved within 30 days, either party may proceed as permitted by this section.
To the fullest extent permitted by law, disputes arising out of or relating to these Terms or the Service will be resolved by binding arbitration, rather than in court, except that either party may bring claims in small claims court if eligible or seek injunctive relief for intellectual property misuse, unauthorized access, or security-related claims.
Any arbitration will be conducted by the American Arbitration Association under its applicable rules. The arbitration may be conducted by phone, video, written submissions, or in person as determined by the arbitrator and applicable rules.
You and Harbor agree that each may bring claims only in an individual capacity and not as a plaintiff or class member in any class, collective, consolidated, or representative action.
If a claim proceeds in court rather than arbitration, the parties consent to the exclusive jurisdiction and venue of the state and federal courts located in Florida, unless applicable law requires otherwise.

34. Apple App Store Terms
If you downloaded Harbor from the Apple App Store, you acknowledge and agree that:
These Terms are between you and Harbor, not Apple.
Apple is not responsible for the Service or its content.
Apple has no obligation to provide maintenance or support.
Apple is not responsible for claims relating to the Service.
Apple and its subsidiaries are third-party beneficiaries of these Terms as they relate to your use of the app.
35. Export and Sanctions Compliance
You may not use the Service if you are located in a country subject to U.S. embargo or sanctions, or if you are on any U.S. government restricted-party list.
You agree to comply with all applicable export control and sanctions laws.
36. Miscellaneous
These Terms, together with the Privacy Policy and any supplemental terms, constitute the entire agreement between you and Harbor regarding the Service.
If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.
Our failure to enforce any provision is not a waiver of our right to enforce it later.
You may not assign or transfer these Terms without our prior written consent. We may assign or transfer these Terms in connection with a merger, acquisition, reorganization, sale of assets, or by operation of law.
There is no joint venture, partnership, employment, fiduciary, or agency relationship between you and Harbor as a result of these Terms or your use of the Service.
